Terms and Conditions

1. Scope
These terms govern the supply of technology, marketing, design, support, and related professional services by Queper. A signed proposal, statement of work, or approved quote forms part of these terms.
2. Proposals and Acceptance
Any proposal or quote is valid for the period stated in writing. Work starts only after written acceptance, required onboarding information, and any agreed deposit are received.
3. Fees and Payments
Fees are in AUD unless noted otherwise and may be exclusive of GST where applicable. Invoices are payable within the timeframe stated on the invoice. Late payment may pause delivery and support until the account is brought current.
4. Client Responsibilities
You agree to provide timely approvals, content, credentials, access, and feedback required for delivery. Delays in these dependencies may impact timeline, resourcing, and project cost.
5. Changes and Out-of-Scope Work
Scope changes, additional features, or revisions beyond agreed inclusions may require a written change request and updated fees or timeline.
6. Intellectual Property
Upon full payment, you receive rights to agreed deliverables specifically created for your project, excluding third-party tools, frameworks, licensed assets, and Queper pre-existing materials.
7. Third-Party Services
Platforms such as hosting, plugins, payment gateways, CRMs, ad networks, and AI services are subject to their own terms, pricing, and uptime obligations. You are responsible for maintaining active third-party subscriptions unless explicitly included.
8. Warranty and Liability
Services are provided with due care and skill. To the maximum extent permitted by law, indirect or consequential loss is excluded. Total liability is limited to fees paid for the affected service period.
9. Confidentiality
Both parties must protect confidential information and use it only for delivery and support purposes unless disclosure is required by law.
10. Termination
Either party may terminate for material breach not remedied within a reasonable written notice period. You remain liable for completed work and committed costs up to termination date.
11. Governing Law
These terms are governed by the laws of New South Wales, Australia, unless otherwise agreed in writing.
